Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the BotzLy platform operated by BotzLy (“we”, “us”, “our”). By creating an account, you agree to these Terms.

1. Description of Service

BotzLy is a marketing and affiliate tracking platform that enables agencies to manage campaigns, track performance (clicks, impressions, conversions), manage affiliate relationships, and handle billing (invoices and payouts).

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your credentials.
  • You must notify us immediately of any unauthorized access at contact@cyberbotz.fr.
  • One person or legal entity may not maintain more than one account.

3. Subscription & Billing

  • Access to the platform requires an active subscription.
  • Subscriptions are billed monthly or annually via Stripe.
  • Prices are displayed in your selected currency and may be subject to applicable taxes (VAT).
  • Usage beyond your plan limits is subject to your organization’s overage policy.
  • You may cancel your subscription at any time. Access continues until the end of the current billing period.
  • Refunds are not provided for partial billing periods.

4. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose
  • Generate fraudulent clicks, impressions, or conversions
  • Attempt to circumvent rate limits or security measures
  • Interfere with the platform’s infrastructure or other users
  • Use the platform to distribute malware or engage in phishing
  • Resell or sublicense access without our written consent
  • Collect data in violation of applicable privacy laws (GDPR, ePrivacy)

We reserve the right to suspend or terminate accounts that violate these terms.

5. Data & Privacy

Your use of the platform is also governed by our Privacy Policy. By using the platform, you acknowledge that:

  • You are the data controller for the personal data of your affiliates, advertisers, and end-users processed through the platform.
  • We act as a data processor on your behalf for tracking data.
  • You are responsible for obtaining necessary consents from your end-users for tracking activities.
  • A Data Processing Agreement (DPA) is available upon request.

6. Intellectual Property

  • The platform, its code, design, and documentation are the exclusive property of BotzLy.
  • Your data remains your property. We claim no ownership over data you upload or generate.
  • We grant you a limited, non-exclusive, non-transferable license to use the platform for the duration of your subscription.

7. API Usage

  • Access to the REST API is subject to rate limits as documented.
  • API keys must be kept confidential and not shared publicly.
  • We reserve the right to throttle or restrict API access to protect platform stability.

8. Service Availability

  • We aim for high availability but do not guarantee 100% uptime.
  • Planned maintenance will be communicated in advance when possible.
  • We are not liable for losses due to service interruptions beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amounts paid by you in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, or consequential damages.
  • We are not liable for lost profits, lost data, or business interruption arising from your use of the platform.

10. Indemnification

You agree to indemnify and hold BotzLy harmless from any claims, damages, or expenses arising from:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of applicable laws
  • Claims from your affiliates, advertisers, or end-users

11. Termination

  • You may delete your account at any time via Settings > Delete Account.
  • We may suspend or terminate your account for violation of these Terms with reasonable notice.
  • Upon termination, your data will be retained as described in our Privacy Policy before deletion.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before they take effect. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by French law. Any disputes shall be submitted to the competent courts of France.
